Its unexplainable because theres just accusations without facts.
If they actually elaborated on what specifically he was being accused of then it would be easier to explain and judge.
I'm confident that the lack of facts is intentional because this is probably all bullshit and Trumped up charges for whats probably really minor stuff.
Edit: as for WHY he settled. Sometimes thats just the easier option. If Trump needs to give $3 million to charity anyhow for tax reasons and this can be settled like that....well, thats a no brainer.
