Don't be naive, culpability is the ONLY explain. They risked jail time by ignoring the subpoena. Only reason you do that is if you're culpable and the subpoena would open you up to a penalty worse to the one for ignoring a subpoena.

They've got the full audit happening. The board called that meeting in response to the audit getting the green light. The Board doesn't want the audit because they are likely going to get exposed.
There is a chance we've got real audits happening in GA and AZ.
