No, they're not. They just announced a couple hours ago, that the deal is still going through, there's no grounds to sue Elon, you can't sue someone to not back out of a deal, don't be ridiculous.

There's a loot of happy crap being posted all over the internet about the deal, with nothing factual backing it up. The press is jerking off vigorously over the idea that Musk is "trapped" in the deal, but the reality is more likely they managed to destroy evidence of the bots that he was revealing, to avoid investigation and fallout from lying to the SEC. And, the press is having a "so there, doodyhead!" moment against Musk for daring to attack their sacred cow.

In general, you CAN be sued for specific performance in regard to a contract you sign. However, everything from a car purchase, home purchase, cellphone contract, to Elons Big Twitter deal will spell out what contingencies and withdrawal deadlines and penalties will exist in order to terminate the contract.

We know that the contract spelled out the contingencies and termination because an earnest funds penalty of 1 billion was disclosed as was a bot/fake account of 5 percent or less, to be proven as one of the contingencies. They also have a six month closing date and probably not just to liquidate enough funds to close.

We don’t put guns to people’s heads and force them to buy. We have well written or poorly written contracts that can be enforced in a court of law should that be the best course of action, which is rarely because dirty deeds then become public fodder.

I do not see this ever going to court as a specific performance suit. Both sides had multiple experienced attorneys who wrote the contract. It spelled everything out. All contracts are subject to further negotiation and can be changed anytime as long as both parties agree in writing.

I could be wrong but I think the notion of Twitter suing Elon had more to do (if) Elon backed out AND chosen not to pay the $1B termination clause of which he’d be obligated to do.

However, as others have mentioned here and elsewhere on if Twitter sued Elon for that 1B, that the opens the flood gates for discovery where Elon and his lawyers can further probe Twitter and expose them in process. Thus, Twitter is more likely to then wave the 1B early termination penalty should Elon pull out of deal early, under the assumption, Elon did so in breach of the sales contract to begin with.
